END USER LICENSE AGREEMENT

Version 1 - March 2025

SUMMARY

- You can install on up to three of your own computers but only use one at a time.
- You can use the software to create and process music and most other types of audio. Some less common uses, like making sample packs or developing software products, have restrictions. See below for details.
- We reserve the right to charge for major software upgrades.
- Please use the demo versions of our products to make sure they meet your needs before purchasing.

If you have 'seat licenses' for an organisation different terms may apply.

SAFETY NOTICE

Our software may produce sudden or sustained loud sounds. Please take care to protect your hearing and equipment:
- Keep monitoring levels conservative, especially when first loading the plugin or changing presets.
- Use limiters, gain staging, and protective features where available.
- Avoid driving very low-level signals into plugins and then compensating with excessive gain afterwards - changing presets or settings can sometimes produce unexpectedly high peaks.
- Manage your studio monitor levels to avoid surprises.
- Avoid extended exposure to high volumes to reduce the risk of hearing damage.

Credland Technical Limited is not responsible for hearing loss, equipment damage, or other issues resulting from unsafe volume levels.

LEGAL AGREEMENT

Please read this license carefully before downloading or using the software. By downloading or using the software, you are agreeing to be bound by the terms of this license.

This agreement covers both Individual User Licenses and Organizational Seat Licenses. The license type that applies to you is determined by your purchase type as indicated on your invoice or order confirmation.

This agreement covers our software products and their associated Factory Content, and unless otherwise specified, also covers the use of add-on or preset packs we sell for those products.

This Agreement replaces and supersedes all prior versions of any Credland Technical Limited End User Licence Agreement. If you accepted an earlier version, you may continue to rely on the rights granted under that version for works you created while it applied. From the date you accept this Agreement (for example, by installing an update or new product), your use of the Software is governed by this Agreement instead.

This Agreement is between you (the end user) and Credland Technical Limited.

1. DEFINITIONS

"Credland," "we," "us," and "our" mean Credland Technical Limited and our licensors, partners, and suppliers.

"Individual Licence" means a licence for use by a single natural person.

"Organisational Seat Licence" means a licence for institutions, businesses, or organisations that grants a number of Seats.

"Seat" means permission to install and use the Software on one computer owned or controlled by the licensee. Seats are non-concurrent.

"Factory Content" means sounds we include with the Software (for example: samples, loops, impulse responses, wavetables, preset renders).

"Software" means our plug-ins, applications, associated audio content and documentation, and any updates we provide, including Factory Content.

"Output" means your original music, sounds, mixes, masters, presets, and other works you create using the Software and/or Factory Content in compliance with this Agreement.

2. LICENSE GRANT

We grant you a personal, limited, non-exclusive, non-transferable licence to install and use the Software in accordance with this Agreement and your purchase type. Title and all intellectual property rights in the Software remain with us and our licensors.

3. EVALUATION SOFTWARE

If you run the Software in demo mode, you may use it without a licence key for 14 days from first launch. When the demo ends you must either purchase a licence or cease using the Software.

You may email support@credland.audio for a demo extension which we may grant at our discretion.

Please use the demo versions of our products to make sure they meet your needs before purchasing.

4. LICENSE TYPES AND PERMITTED USE

Individual License

If you purchased a standard individual license, you are permitted to:
- Install the software on a maximum of three computers for personal or commercial use, provided that only one copy of the software is in use at any one time.
- You must not share your license keys, or your account login information that provides access to your license key, with anyone else.
- You may allow other people to use the software on your computer, e.g. in a recording studio.

Organizational Seat License (Bulk/Institutional Purchase)

If you purchased an organizational seat license (as indicated on your invoice or order confirmation):

Installation and Use Rights

- Each Seat permits installation and use of the Software on one computer
- The number of Seats granted corresponds to the quantities stated on your invoice or order confirmation
- All organizational licenses are perpetual unless expressly stated otherwise in writing

Seat Management

- Seat Count: You are granted the number of Seats specified on your invoice or order confirmation
- Reassignment: Seats may be reassigned to a new computer only by first de-activating the prior installation (e.g., hardware retirement, user departure, machine rebuild)
- No Sharing: Routine roaming or simultaneous use on multiple machines under a single Seat is not permitted
- Key Security: License keys must not be shared outside the purchasing organization or beyond the agreed Seat Count

Transfer and Corporate Changes

- Licenses are non-transferable and may not be resold, rented, loaned, or shared outside the purchasing organization
- In a bona fide merger, acquisition, or corporate restructuring, licences may transfer to the successor entity provided: (i) Seat count is not exceeded; (ii) only the successor and its affiliates use the Software; and (iii) you notify us within 30 days. Any other transfer requires our prior written consent.

Compliance and Monitoring

- Your Responsibility: You are responsible for tracking and ensuring that actual use does not exceed your Seat Count
- Activation Logs: The Software may log activation events (timestamp, anonymized hardware identifiers, IP address/country, product/key ID) for license administration and security
- Overuse: If activations exceed the Seat Count, you must either reduce activations to the Seat Count or purchase additional Seats
- Audit Right: With reasonable notice and no more than once per year, we may request a report of installations/activations during normal business hours

Complimentary Institutional Licenses

If we provided multiple free licenses for your organisation the terms are the same as the organisational seat license. Except: licenses may not be resold and may be revoked by us for any reason at any time.

Complimentary Individual Licenses aka NFRs

Sometimes known as NFRs. If we provided you with an individual license the terms are the same as the individual license. Except: licenses may not be resold and may be revoked by us for any reason at any time.

5. USAGE RESTRICTIONS

Creative use. You may use the Software and Factory Content to create music, sound design, mixes/masters, broadcast audio, live performances, games/film soundtracks, and similar (commercial or otherwise). No attribution required.

Sample-pack creation. You may use our software to create sample packs but you must not include, derive from, or recreate Factory Content.

Projects and presets. You may share your own presets and project files that reference Factory Content, provided Factory Content is not embedded/redistributed.

No isolated distribution. Do not distribute Factory Content (or materially similar recreations) in isolation or in a form intended for reuse (e.g., stems, construction kits, DAW templates, multisamples, IR libraries, or one-shots), even if part of a larger project.

Extraction / cloning. Do not extract, copy, or recreate Factory Content for use in other products (e.g., cloning wavetables, resampling preset renders, recreating IRs, or porting to other synths).

AI/ML. Do not use the Software, Factory Content, or Output containing Factory Content to create datasets or to train, fine-tune, or evaluate AI/ML models (including embeddings or feature sets), nor allow others to do so.

Hosting. Do not offer the Software as a hosted/web/SaaS or cloud rendering service where users can process audio unless each user has their own valid licence or we agree in writing.

Content ID. Do not register Factory Content (or trivially modified versions) with fingerprinting/rights-management systems in a way that claims exclusive ownership over it.

Interactive products. Output may be used in games/apps provided end users cannot access or reuse Factory Content in isolation.

Add-on packs. Some add-on packs may include extra restrictions - see the relevant product page.

Examples

OK

- Using our plugins on client mixes/masters or in a live set.
- Designing new drums from your own synthesis/recordings and releasing a sample pack of those.
- Scoring a game/film; shipping only rendered audio assets that don't expose our raw samples.

Not OK

- Exporting a factory loop/one-shot and selling it in a sample pack (even if EQ'd or time-stretched).
- Bouncing Factory Content into a sampler patch and distributing the patch with the audio embedded.
- Cloning our wavetables/IRs or resampling presets to use in another synthesiser.
- Registering a factory loop (or lightly edited version) with YouTube Content ID.

6. TECHNICAL RESTRICTIONS

To the extent permitted by law, you must not: (a) decompile, reverse engineer, or disassemble the Software (except to the limited extent such restrictions are prohibited by applicable law); (b) copy, modify, or distribute the Software; (c) rent, lease, loan, or create derivative works based upon the Software or documentation; or (d) make the Software available over a network in a way that enables use by multiple devices/users at the same time, except as permitted by your licence.

You may transmit, download, and install the Software as reasonably necessary for lawful installation, activation, updates, and backup in accordance with this Agreement.

7. UPGRADES

Minor updates: are free for licensed users.

Major upgrades: substantial new features or changes may be offered for an additional fee.

We will act reasonably in classifying an update as minor or major and will describe upgrade pricing on our website.

8. SUPPORT

We offer email support to all customers. Contact support@credland.audio if you have a problem.

9. RIGHT OF WITHDRAWAL (EU/UK Customers)

If you are a consumer in the EU or UK, you normally have a legal right to withdraw from a digital purchase within 14 days. By purchasing and downloading/activating our software, you expressly agree that the download/activation begins immediately, and you acknowledge that your right to withdraw from the purchase is waived once the download/activation starts.

10. TERMINATION

This Agreement starts when you accept it and continues until terminated.

By you: You may terminate at any time by uninstalling and destroying the Software and related materials.

By us: We may terminate this Agreement if you materially breach it. Where the breach is curable, you will have 10 business days after notice to remedy (this cure period also applies to individuals). For organisational licences, exceeding Seat limits, sharing restrictions, or transfer provisions is a material breach.

Effect of termination: You must stop using and uninstall the Software (and, for organisations, from all machines not covered by a valid licence) and destroy related materials. Terms that by their nature should survive (for example, Sections 5-7 and 11-18) will survive. Unless required by law, fees paid are non-refundable.

11. DISCLAIMER

To the maximum extent permitted by law, the Software is provided "as is" and "as available." We disclaim all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or that defects will be corrected.

12. LIMITATION ON DAMAGES

Under no circumstances shall We be liable for direct, indirect, special, incidental, or consequential damages resulting from the use, misuse, or inability to use this software, even if We have been advised of the possibility of such damages.

For Individual Licenses: Our total liability shall not exceed the amount paid by you for the Software.

For Organizational Licenses: Our total aggregate liability arising out of or in connection with this License, the Software, or their use shall not exceed the total fees paid by the purchasing organization for the relevant licenses.

Nothing in this License limits liability that cannot be limited by law.

13. CONTROLLING LAW AND SEVERABILITY

This License shall be governed by and construed in accordance with the laws of England. If for any reason a court of competent jurisdiction finds any provision of this License, or portion thereof, to be unenforceable, that provision of the License shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this License shall continue in full force and effect.

14. OTHER

Privacy Policy

We maintain a separate privacy policy, which you can find on our website.

Notices and Communications

For individuals, we may send general communications to your registered email address. For organisations, formal notices must be sent by email to support@credland.audio and to the contact email on the invoice or order confirmation. Notices are deemed received on the business day sent (or next business day if sent outside business hours), provided no bounce-back is received. Our postal address and additional contact details are listed on our website.

15. ACKNOWLEDGEMENT

You acknowledge that you have read this License Agreement and understand it, and agree to be bound by the terms and conditions. You also agree that the License Agreement is the complete and exclusive statement of agreement between the parties and supersedes all proposals or prior agreements, oral or written, and any other communications between the parties relating to the subject matter of the License Agreement.

No amendment to or modification of this License will be binding unless in writing and signed by a duly authorized representative of Credland Technical Limited.
